MARKETPLACE VENDOR AGREEMENT

Effective: June 23, 2026 Version: 2026-06-23

This Marketplace Vendor Agreement ("Agreement") is between CuzHens LLC ("CuzHens", "we", "us", "our") and you ("Vendor", "Seller", "you"). By creating or operating a Vendor account on CuzHens Market, you agree to this Agreement in addition to our Terms of Service, Privacy Policy, Acceptable Use Policy, and Refund Policy.

If you operate a Vendor account on behalf of a business, farm, organization, or other entity, you represent that you are authorized to bind that entity to this Agreement.

Vendor Eligibility

You must be at least 18 years old.
You must be legally permitted to sell products or services in your jurisdiction.
You are responsible for obtaining and maintaining any licenses, permits, certifications, registrations, or approvals required by law.
You represent that you have the legal right to sell, produce, grow, raise, create, distribute, or provide every item listed through your account.
Resellers and aggregators must disclose such status on their Farm Store profile and may be subject to different fees or requirements.

Farm Store Profile

You agree to maintain accurate information including:

Farm name
Business name
Address
Contact information
Description
Photos
Growing practices
Pickup or delivery information

You may operate multiple Farm Stores under a single account where permitted by the platform.

Seller Verification Levels

CuzHens may maintain multiple verification levels including:

Unverified
Verified
Premium Verified

Verification may require:

Government-issued identification
Address verification
Farm verification
Business verification
Tax documentation
License verification

Verification status may be revoked at any time if information becomes inaccurate, incomplete, misleading, or unverifiable.

Verification does not constitute endorsement, certification, inspection, guarantee, or audit by CuzHens.

Listings (Products, Services, Events & Digital Products)

Vendors may list any legal product or service including:

Eggs
Produce
Fruit
Honey
Flowers
Plants
Seeds
Herbs
Livestock
Chicks
Hatching eggs
Meat
Dairy
Cottage foods
Farm services
Equipment
Equipment rentals
Farm events
Agritourism experiences
Educational classes
Restaurant sourcing opportunities
Subscription programs
Digital products

Listings must:

Be truthful
Be accurate
Include required disclosures
Use accurate photos
Include pricing information
Include fulfillment details

You agree to keep inventory and availability current.

CuzHens may remove listings that violate policies, laws, or marketplace standards.

Basic marketplace participation.

Features may include:

Custom URLs
Advanced SEO controls
Employee seats
Broadcast quotas
Coupons
Featured Products
Sponsored Ads
Messaging tools
Analytics
Verified badges
Custom domains
Marketing tools
AI-powered tools
Future marketplace services

Fees are billed in advance.

Plan fees are non-refundable for periods already billed.

Failure to maintain payment may result in automatic removal of premium features.

CuzHens may add, modify, rename, retire, or discontinue plans and features with reasonable notice.

Team Members & Employees

Paid plans may permit Vendors to add employees or team members.

Each employee must maintain an individual CuzHens account.

The Vendor owner remains fully responsible for all actions performed by employees, contractors, representatives, and team members.

Downgrading a membership plan may reduce available team seats.

Coupons

Eligible Vendors may create promotional coupons.

Vendor-created coupons:

Are funded by the Vendor
May include limits
May include expiration dates
May include minimum purchase requirements

CuzHens may invalidate coupons used fraudulently or abusively.

Featured Products

Eligible Vendors may purchase Featured Product placements.
