Welcome to CuzHens Market, operated by CuzHens LLC ("CuzHens", "we", "us", "our"). By accessing or using cuzhens.com (the "Service") — including signing up for an account, browsing listings, contacting a vendor, placing an order, listing products as a vendor, or purchasing any paid feature — you agree to these Terms of Service (the "Terms").
If you do not agree, do not use the Service.
1. Who we are
CuzHens Market is a local marketplace that connects customers with nearby Community Sellers ("Vendors") selling food and farm goods for local pickup or short-range delivery. CuzHens itself does not grow, package, store, inspect, or transport any item listed on the Service. We act as a neutral venue and tooling provider.
2. Eligibility & accounts
- You must be at least 18 years old (or have a parent / guardian agree on your behalf) to create an account.
- You must provide accurate information at signup and keep it current.
- You are responsible for everything that happens under your account, including keeping your password safe and your two-factor codes (if enabled) private.
- One person or business per account. Sharing accounts is not allowed, except via the official Team / Employee feature described in Section 11.
- We may suspend or terminate accounts that violate these Terms.
3. Roles on the platform
Every account has one of these roles:
- Customer — browses listings, follows farms, contacts vendors, places orders, leaves reviews.
- Vendor (Farmer) — manages one or more Farm Stores, lists products, sets pickup/delivery options, runs promotions (coupons, featured products), accepts orders. Vendors also agree to the Marketplace Vendor Agreement.
- Admin / Moderator — CuzHens staff with marketplace-management permissions. Admins may impersonate accounts for support purposes; an in-app banner is displayed during impersonation.
You can change role from Customer to Vendor at any time by completing vendor onboarding.
4. Customer use
- Listings are provided by Vendors. Availability, pricing, freshness, weight, allergen disclosures, and product claims are the Vendor's responsibility.
- Customers arrange pickup or delivery directly with the Vendor through the in-app chat or contact info shown on the farm page.
- Sales are subject to the Vendor's individual policies and the platform's Refund & Cancellation Policy.
- Once online payments are enabled, the Service may collect payment on the Vendor's behalf and remit it after deducting marketplace fees.
5. Vendor use (summary)
If you sign up as a Vendor, you also agree to the Marketplace Vendor Agreement, which governs listings, fees, premium memberships, payouts, food-safety responsibilities, verification, coupons, featured products, sponsored ads, and dispute handling. Sections 11–20 below summarize the main obligations.
6. Acceptable use
You agree to follow our Acceptable Use & Community Guidelines. Briefly: no illegal items, no harassment, no spam, no impersonation, no resale of someone else's listings, no scraping, no fake reviews, no coupon abuse, and no fraudulent ad activity.
7. User content
When you post photos, reviews, replies, posts, events, broadcasts, messages, or product descriptions on the Service ("User Content") you keep ownership of that content. You grant CuzHens LLC a worldwide, royalty-free, sublicensable license to host, display, reproduce, distribute, and promote that content on and in marketing for the Service. You are responsible for the content you post and represent that you have the rights to share it.
You may delete most User Content from your account. Some content (such as messages already delivered to a counterparty, reviews tied to fulfilled orders, or required audit logs) may be retained as described in our Privacy Policy.
8. Reviews & ratings
- Reviews must reflect a genuine experience with the Vendor or product.
- Customers and vendors can leave mutual reviews for each transaction.
- Reviews tied to a fulfilled order may carry a "Verified Purchase" badge.
- We may remove, edit, or unpublish reviews that violate Acceptable Use, appear fake or paid-for, contain personal data, or are part of a brigade.
- Vendors may publicly reply once per review. Vendors may not require positive reviews in exchange for refunds, discounts, or coupons.
9. Messaging, broadcasts, push, and email
- We send service emails (signup, login, password reset, order updates, moderation notices, payouts) for free.
- Marketing emails, Web Push notifications, and SMS broadcasts are opt-in and can be turned off at any time in your account settings.
- Vendors may send broadcasts (in-app + push, and where enabled email/SMS) to their followers or order history. Broadcasts must follow Acceptable Use; abusive or off-topic broadcasts can result in feature loss or suspension.
- Customers can mute or block any Vendor's broadcasts.
- All messages, broadcasts, and chat content are subject to moderation review.
10. Membership tiers (Vendors)
Vendor accounts come with a dynamic set of plans (currently Free, Pro, Premium, and Max). Each tier unlocks a different set of features (e.g., custom slug, employee seats, broadcast quotas, SEO controls, advanced analytics, sponsored-ad eligibility). The current list and pricing live at /sell and inside the vendor dashboard.
- Plans are billed monthly (or annually if offered) at the price disclosed at checkout.
- If a paid plan lapses (e.g., billing failure or cancellation), gated features (including Verified badge and team seats over the lower-tier cap) are automatically removed until the plan is reactivated.
- Plan fees are non-refundable for the period already billed; you may cancel at any time and your plan stays active until the end of the current cycle (see Refund Policy).
- We may add, rename, retire, or adjust plans with reasonable notice; existing subscriptions are honored for the remainder of the current billing cycle when material changes occur.
11. Teams & employees
Vendors on paid tiers may add team members (employees) to help manage their Farm Store. Each tier has a seat cap (Free=0, Pro=1, Premium=3, Max=25 — see the Vendor Agreement for the live numbers). The Vendor owner is responsible for actions taken by their team. Team members must have their own CuzHens accounts and agree to these Terms.
12. Coupons & promotions
- Vendor coupons — Pro+ Vendors may create promo codes that apply to their own Farm Store. Vendors set the discount type (percent or fixed amount), eligibility caps (date range, total uses, per-customer use, minimum order), and may pause or delete codes at any time.
- Sitewide coupons — Admin may create coupons that apply across the marketplace. The cost of sitewide discounts is absorbed by CuzHens LLC unless otherwise disclosed in the coupon's terms.
- Customer use — You may use one coupon per checkout. Coupons are not transferable, cannot be combined with another coupon on the same line item, and cannot be exchanged for cash. We reserve the right to invalidate codes obtained or used in bad faith (e.g., bot-driven mass redemption, fake account farming, or reselling codes for value).
- No retroactive application — A coupon entered after checkout cannot be applied to a completed order.
- Misuse — Repeated abuse may result in coupon disqualification, order cancellation, and account restriction.
13. Featured Products (Vendor self-serve boosting)
Pro+ Vendors may purchase Featured Product slots to pin their products higher in search and discovery results for a fixed duration (e.g., 7 / 14 / 30 days). Pricing is shown at the time of purchase.
- Featured placements are subject to availability and editorial review.
- Featured products are labeled clearly so customers can distinguish them from organic results.
- Featured fees are non-refundable once a slot starts (we may credit the unused portion if we cancel a slot for marketplace reasons unrelated to the Vendor).
- A product hidden, sold-out, or removed during a Featured run is forfeited; we do not pause or extend the slot automatically.
14. Sponsored Ads
Vendors and external advertisers may purchase Sponsored Ad placements that appear in six site-wide slots (e.g., home banner, search sidebar, farm-page rail). Ads are reviewed by an admin before going live and must:
- Be truthful and not deceptive.
- Not promote competitors of CuzHens in a way that confuses ownership.
- Not promote illegal products, controlled substances, or items prohibited by Acceptable Use.
- Comply with applicable advertising laws (FTC, state, and local).
Admin reviews can take 24–48 hours. Approved ads can be paused or removed at our sole discretion if they later violate these rules; in that case we may refund the unused portion. Sponsored placements are labeled "Sponsored."
15. Payments, fees & taxes
- Until self-serve online payments are fully enabled across all Vendors, transactions may occur off-platform at pickup or via the Vendor's preferred method.
- Once on-platform payments are live, we use a third-party payment processor (e.g., Stripe). You authorize that processor to handle your card information; we never see or store full card numbers.
- CuzHens may charge a marketplace fee on each transaction (disclosed at order time) and subscription fees for Vendor plans, featured-product fees, and sponsored-ad fees.
- All fees are in U.S. dollars unless stated otherwise.
- You are responsible for your own taxes. Where required by law, we may collect and remit sales tax on behalf of Vendors as a marketplace facilitator.
16. Refunds & disputes
See our Refund & Cancellation Policy. In short:
- Customer cancellation before pickup → typically full refund (perishables prepared on request may be partial).
- Vendor cancellation → full refund.
- Quality issues → contact the Vendor within 24 hours of pickup; if unresolved within 7 days, escalate to info@cuzhens.com.
- Chargebacks filed before mediation are discouraged and may result in account restriction.
17. Data & cookies
We collect and process personal data as described in our Privacy Policy. We use a small number of strictly-necessary cookies plus a few localStorage keys (see Cookies Policy). A cookie consent banner is shown to first-time visitors. Optional third-party analytics (Google Analytics 4 and Microsoft Clarity) and our internal admin-only AI Analytics Assistant (powered by Anthropic's Claude Sonnet 4.5 via the Emergent LLM gateway) are described in §14 of the Privacy Policy.
You may export, correct, or delete your personal data from your account settings or by emailing info@cuzhens.com.
18. Intellectual property
The CuzHens Market name, logo, branding, and the look-and-feel of the Service are owned by CuzHens LLC. You may not copy, redistribute, scrape, or build a derivative service without prior written permission. Trademarks of third parties used on the Service belong to their respective owners.
19. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent allowed by law, we disclaim all warranties (express or implied) of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that:
- the Service will be uninterrupted or error-free;
- listings will be accurate, available, or safe;
- Vendor claims about growing practices, allergens, or origin are correct;
- coupons, ads, or featured slots will achieve any specific business result.
Food-safety, allergen labeling, recall, and product-compliance obligations rest with the Vendor. Raw or unpasteurized products (eggs, dairy, meat, sprouts) should be cooked to USDA-recommended temperatures.
20. Limitation of liability
To the maximum extent allowed by law, CuzHens LLC, its officers, employees, contractors, and affiliates are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Service. Our total aggregate liability for any claim is limited to the greater of (a) $100 USD or (b) the total fees you paid CuzHens LLC (excluding pass-through Vendor payments) in the 12 months before the claim arose.
Some jurisdictions do not allow these limitations; in those places, the limits apply to the maximum extent permitted.
21. Indemnification
You agree to defend, indemnify, and hold CuzHens LLC, its officers, employees, contractors, and affiliates harmless from any third-party claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms or applicable law, or (d) for Vendors, any product you list, sell, or fail to fulfill.
22. Suspension & termination
We may suspend or terminate access — to a feature or the entire account — at any time, with or without notice, for any reason, including violating these Terms, suspected fraud, or harm to other users. We may also retain certain records as required by law or for fraud prevention even after termination. You may close your account at any time from /account/settings or by emailing info@cuzhens.com; account closure does not waive fees already due.
23. Governing law & venue
These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. Disputes shall be resolved in the state or federal courts located in Ware County, Georgia, and you consent to that venue.
24. Informal resolution; class-action waiver
Before filing any claim, you agree to email info@cuzhens.com with a description of the dispute and an opportunity to resolve it informally for at least 30 days. You agree to bring claims only individually, not as a plaintiff or class member in any purported class, collective, or representative action. Where allowed by law, you waive trial by jury.
25. Changes to these Terms
We may update these Terms. When we do, we will update the "Effective" and "Version" markers at the top and, for material changes, notify you by email and / or with an in-app banner. Continued use after a material update means you accept the new Terms. You may also be asked to explicitly re-accept on your next login when a new version is published.
26. Miscellaneous
- Entire agreement. These Terms (together with the linked policies referenced above) are the entire agreement between you and CuzHens LLC regarding the Service.
- Severability. If a court finds any provision unenforceable, the rest stays in effect.
- No waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or to a successor in connection with a merger, acquisition, or sale of assets.
- No agency. No partnership, joint venture, employment, or franchise relationship is created by these Terms.
